General Terms and Conditions

Introduction

These general terms and conditions apply to all offers, quotations, and agreements of TimberWalls UAB, registered in Jonava, Lithuania. By using our services or placing an order, you agree to these terms.

Definitions

In these terms: 'TimberWalls' — TimberWalls UAB, registered with the Lithuanian commercial register. 'Customer' — any natural or legal person who enters into an agreement with TimberWalls. 'Product' — prefab timber-frame houses, modules, and related construction products. 'Agreement' — any arrangement or agreement between TimberWalls and the customer.

Applicability

These terms apply to every offer and agreement between TimberWalls and the customer. Deviations from these terms are only valid if expressly agreed in writing.

Quotations and offers

All quotations and offers from TimberWalls are without obligation, unless expressly stated otherwise. A quotation is valid for the period stated therein. If no validity period is stated, the quotation is valid for 30 days.

Prices

All stated prices exclude VAT, transport costs, and foundation works, unless expressly stated otherwise. TimberWalls reserves the right to adjust prices in case of unforeseen circumstances, such as significant changes in material costs.

Delivery

Delivery times are approximate and are not strict deadlines. Delay in delivery does not entitle the customer to compensation or termination of the agreement, unless the delay is unreasonably long. Delivery is considered complete once the modules have been delivered to the agreed location.

Payment

Payment is made according to the agreed payment schedule, typically: 30% upon signing the agreement, 40% at the start of production, and 30% upon delivery. In case of late payment, the customer is automatically in default and TimberWalls is entitled to charge statutory interest and collection costs.

Warranty

TimberWalls provides a warranty on the structural components of its products in accordance with applicable European standards. The warranty covers material and manufacturing defects. The warranty lapses if the product has been incorrectly assembled, modified without permission, or insufficiently maintained.

Liability

The liability of TimberWalls is limited to the amount paid out by insurance in the relevant case. TimberWalls is not liable for indirect damage, consequential damage, loss of profit, or missed savings.

Force majeure

TimberWalls is not obliged to fulfil any obligation if prevented by force majeure. Force majeure includes: extreme weather conditions, natural disasters, war, strikes, pandemics, government measures, transport problems, and raw material shortages.

Disputes

Parties shall first attempt to resolve disputes through mutual consultation. If this fails, disputes shall be submitted to the competent court.

Governing law

All agreements between TimberWalls and the customer are governed by Lithuanian law, without prejudice to the mandatory provisions of the law of the country where the customer resides.
